Commercial and B2B Legal/Paralegal Consultant - FULLY REMOTE
Responsibilities:
- MUST HAVE: Commercial, Sales Contracts and B2B Legal/Paralegal Experience
- Able to quickly familiarize yourself with the Company’s products and services, standard contract templates, deviations and reasons for deviations
- Support the contract administration lifecycle, including responding to and tracking inbound requests, redlines to standard sales contracts, routing escalations to stakeholders/reviewers, and facilitating contract execution
- Review, draft and negotiate client (sales) contracts, NDAs and other related contracts to ensure compliance with standard forms, terms and conditions
- Draft responses to redlines and assist with negotiation of non-standard language
- Draft multiple fallback positions to use when a counterparty pushes back on standard contract clauses
- Assist with management of and updates to standard form contract templates
- Serve as the first point of contact to various business functions for contract requests
- Track and record deviations from standard contract positions for all existing and new client contracts
- Track, record and manage specific contractual notice requirements
- Assist with preparation of contract playbook by evaluating current contracts and consulting with internal stakeholders to understand:
- how and why the company reached specific contract positions;
- internal policies that restrict or mandate certain contract terms;
- when particular contract templates and clauses should be used and in what circumstances;
- when alternative contract language should be used;
- specific approvals needed to deviate from the form templates;

- rationale for the counterparty to support the company’s positions; and
- key negotiation issues and common pitfalls.
Skills/Requirements:
- At least three years’ transactional and contract administration experience (preferably in-house)
- Excellent technical skills in contracts law so you can hit the ground running
$30-35/hr plus benefits converting at $110K base
